1. Introduction

Welcome to HARSAHDA SHIRSAT (“Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern the access to and use of our website, communication services, messaging solutions, and any related digital platforms, including services delivered through WhatsApp Official Business API and Rich Communication Services (RCS).

By accessing, registering, or using our services, you agree that you have read, understood, and accepted these Terms in full. These Terms form a legally binding agreement under the laws of India.

  • “WhatsApp API” means Meta’s official WhatsApp Business API.
  • “RCS” refers to Rich Communication Services enabled through telecom operators.
  • “Content” means any text, data, media, templates, or information transmitted using our Services.
  • “Applicable Law” refers to all laws, rules, and regulations in force in India.

3. Acceptance of Terms

By using our Services, you confirm that:

  • You are legally competent to enter into this agreement.
  • You accept these Terms without limitation or qualification.
  • Continued use constitutes ongoing acceptance of any updated Terms.

If you do not agree, you must discontinue use immediately.

4. Description of Services

HARSAHDA SHIRSAT provides digital communication services including but not limited to:

  • WhatsApp transactional and promotional messaging
  • RCS messaging campaigns
  • Customer notifications and alerts
  • OTP, reminders, and service updates
  • Business automation and integrations

All services are delivered strictly through official, policy-compliant channels approved by Meta and telecom operators.

5. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be authorized to act on behalf of your business (if applicable)
  • Operate a lawful business under Indian law
  • Have lawful consent from message recipients

We reserve the right to deny service to any entity failing eligibility requirements.

6. Account Registration

Users may be required to register and provide:

  • Accurate business information
  • Valid contact details
  • Regulatory or identity documents

You are responsible for maintaining confidentiality of login credentials and all activities under your account.

7. User Responsibilities

Users agree to:

  • Send messages only to opted-in recipients
  • Comply with WhatsApp, RCS, and telecom policies
  • Avoid spam, misleading, illegal, or abusive content
  • Maintain updated records of user consent

Violation may result in immediate suspension without refund.

8. Payment & Billing Terms

  • Services are offered on prepaid or subscription basis.
  • All fees are exclusive of applicable GST unless stated otherwise.
  • Payments are non-refundable once services are activated.
  • Failure to pay may result in suspension or termination.

9. Subscription Renewal & Termination

Subscriptions renew as per agreed billing cycles unless canceled in advance.
We may terminate services without notice for:

  • Policy violations
  • Non-payment
  • Legal or regulatory risks

Termination does not waive outstanding payment obligations.

10. Use of WhatsApp Official API & RCS

Users acknowledge:

  • WhatsApp and RCS services are governed by third-party policies
  • Template approvals are subject to Meta and operator review
  • Delivery is not guaranteed due to external dependencies

HARSAHDA SHIRSAT acts as a service facilitator, not the platform owner.

11. Message Delivery & Compliance Policy

Message delivery depends on:

  • Recipient device availability
  • Network conditions
  • Platform approval and rate limits

We do not guarantee 100% delivery and are not liable for undelivered messages due to external factors.

12. Intellectual Property Rights

All software, branding, templates, and materials are the exclusive property of HARSAHDA SHIRSAT.
Users receive a limited, non-transferable license for service usage only.

13. Confidentiality

Both parties agree to maintain confidentiality of business, technical, and user data obtained during service use.

14. Disclaimer of Warranties

Services are provided “as is” and “as available.”
We disclaim all implied warranties including merchantability, fitness for purpose, and uninterrupted service.

15. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the amount paid by the user in the preceding 3 months

16. Indemnification

You agree to indemnify HARSAHDA SHIRSAT against claims arising from:

  • Content violations
  • Unlawful messaging
  • Breach of these Terms

17. Governing Law (India)

These Terms are governed by the laws of India.
Jurisdiction lies exclusively with courts in Maharashtra, India.

18. Changes to Terms

We may update these Terms periodically. Continued use implies acceptance of updated Terms.
